1. Scope of application

1.1. These General Terms and Conditions of Sale (hereinafter: the "General Terms and Conditions") apply to all offers, orders, order confirmations, contracts and deliveries between you (hereinafter: the "Buyer") and Watchmakers united, branch of Luxogood SA (hereinafter: "Watchmakers United") hosted on www.watchmakersunited.com (hereinafter: the "Website") operated by Watchmakers United, branch of Luxogood SA, as well as through e-mail communications.

1.2. Watchmakers United, a branch of Luxogood SA, is a company with its registered office located at rue Pierre Fatio 5, 1204 Geneva, Switzerland. You can contact us at any time at the following email address: contact@luxogood.com, or at one of the following telephone numbers: +41 22 700 08 94.

1.3. By placing an order (hereinafter: the "Order"), you acknowledge that you have read, understood and accepted, without reservation, these General Terms and Conditions, as they are in force at the time the Order is placed, and you agree that they constitute an integral part of the contractual relationship between you and Watchmakers United and that they are binding. By placing an Order, you further agree to the General Terms and Conditions on your own behalf or on behalf of the entity you represent, and you warrant that you have the right, authority and capacity to enter into such an agreement.

1.4. Watchmakers United reserves the right to modify these Terms and Conditions at any time, and at its sole discretion, by publishing a new version on the Website. The new version of the Terms and Conditions will apply to any Order validated after its publication.

1.5. Certain features of the Website may be subject to additional terms or rules, available on the relevant pages.

1.6. We invite you to consult our Privacy and Cookies Policy, as well as our Terms of Use, which form an integral part of these General Conditions.

1.7. With regard to in-store sales, the guarantees and after-sales services detailed in Article 8 of these General Conditions, as well as the terms of Articles 9 and 11, will apply.

2. Products and Offers

2.1. On the Website, Watchmakers United publishes all items available for sale (hereinafter: the "Products") and indicates their characteristics and prices. Information on the Website regarding the Products and their prices is subject to change without notice.

2.2. The Buyer may order the available Products by placing an Order. To place an Order, the Buyer may either create an account, continue as a guest on the Website, or place an Order by email at contact@luxogood.com. The information provided in these cases will be stored and processed exclusively for the proper completion of the Order, its invoicing and delivery, and in any case, in accordance with our Privacy and Cookie Policy. Any Order placed by the Buyer constitutes a binding and definitive offer to conclude a Purchase Agreement with Watchmakers United for the relevant Products (hereinafter: the "Offer").

2.3. Following the placing of any Order, the Buyer will receive an Order confirmation (hereinafter: the “Order Confirmation”). This does not constitute an acceptance of the Offer by Watchmakers United.

2.4. When an item is unavailable, the Buyer may request to be placed on a waiting list. The information provided in this case will be used exclusively for the purposes intended for this purpose and in accordance with our Privacy and Cookie Policy. Joining the waiting list is non-binding.

3. Conclusion of a Purchase Contract and Transfer of Risks

3.1. The Purchase Agreement is concluded when Watchmakers United accepts the Buyer's Order. The Order is deemed accepted when, following payment by the Buyer, Watchmakers United provides the Buyer with confirmation of acceptance via the Website, by email, by any other means of written communication, or by sending the ordered Products.

3.2. Watchmakers United reserves the right to refuse an Order at its sole discretion, without having to justify its decision.

3.3. The risk of loss and damage to the Products is transferred to the Buyer as soon as the Purchase Contract is concluded.

4. Prices and Additional Charges

4.1. The Buyer will be billed at the price displayed on the Website at the time the Order is validated (hereinafter: the “Purchase Price”).

4.2. Prices on the Website are quoted in Swiss francs (CHF) and include Swiss Value Added Tax (VAT). For deliveries outside Switzerland, Swiss VAT will be deducted from the invoice displayed on the payment page or communicated by email.

4.3. Watchmakers United reserves the right to change its prices at any time and to cancel a Purchase Agreement containing wording, printing or calculation errors.

4.4. Unless otherwise indicated by Watchmakers United, delivery costs (hereinafter: the “Delivery Costs”) are the responsibility of the Buyer.

4.5. The fees applicable to the payment method (hereinafter referred to as the "Payment Methods") and the Delivery Charges are displayed in the shopping cart before the Order is validated and are added to the prices indicated for the Order, or, in the case where the Order is placed by e-mail, are communicated by these means. By placing the Order, the Buyer accepts the aforementioned fees.

4.6. In addition to the Delivery Charges, deliveries to countries other than Switzerland may incur customs duties, taxes and other charges (which may depend on many factors, including, without limitation, the value, type of Products purchased, administrative costs and shipping destination) and which are not reflected in the Prices indicated on the Website. The Buyer must bear the customs duties and other taxes applicable in the country of delivery, as well as any other charges related to the delivery of Products purchased outside Switzerland. By accepting these General Conditions, the Buyer agrees to pay any customs duties, taxes or any other charges that may apply in connection with delivery to a country other than Switzerland.

5. Payment

5.1. The Purchase Price of the Products ordered is due and must be paid immediately upon validation of the Order by the Buyer.

5.2. Payments can be made using any of the Payment Methods accepted by the Website at the time of the Order, such as Sumup (credit card), bank transfer, Lightning or Bitcoin onchain. In the case where an Order is placed by email, payments can be made by bank transfer, or by using the link provided by Watchmakers United in an email. The processing of personal data related to payments and Payment Methods is addressed in our Privacy and Cookie Policy.

5.3. Credit card payments are made on Sumup's secure website. The Buyer will be automatically redirected to their website upon validation of the Order. Credit card payments are entirely managed by the payment service provider, whose terms and conditions are the only ones applicable to credit card payments. No information regarding the Buyer's credit card will be requested or recorded by Watchmakers United, either on its Website or via email.

5.4. The Buyer may also use a gift card previously issued by Watchmakers United, in accordance with the conditions of the gift card.

5.5. In the event that the Order is not ultimately accepted (due, for example, to stock issues or for any other reason that Watchmakers United may, in its sole discretion, determine), any portion of the Purchase Price already paid will be refunded to the Buyer to the account used by the Buyer to make the initial payment, within a reasonable time.

5.6. Like international bank transfers, Bitcoin transactions involve:

• a processing time defined in part by the threshold verification policy currently configured by us

• transaction fees payable by the customer, which are incurred by their payment application/wallet when validating the transaction

Furthermore, when paying in Bitcoin, the transaction is billed in a reference currency, converted into Bitcoin at the time of ordering. This ensures that the instant exchange rate is maintained for each payment. In the event of a refund, the refunded amount will be in the reference currency (CHF). The transaction fees for the refund will be borne by the merchant. The refund will be made by bank transfer.

6. Delivery

6.1. The Products may be delivered (hereinafter: "Delivery") or collected from a Watchmakers United point of sale indicated on the Website or by email (hereinafter: "Collection").

6.2. The Products will be prepared for Delivery or ready for Collection only when the Purchase Price is paid in full.

6.3. In the event of Withdrawal, no additional costs will be applied. Withdrawal must be made within the opening hours of the chosen point of sale. The Products must be collected by the Buyer in person or by a person authorized by them, whose name has been previously communicated by email to Watchmakers United.

6.4. In the event of Delivery, the Products will be delivered to the shipping address specified by the Buyer during the checkout process on the Website or by email, using a delivery service designated by Watchmakers United. The expected delivery time mentioned on the Website or by email is indicative and may be subject to customs clearance or other delays beyond the control of Watchmakers United. Watchmakers United will not be liable for any delay in Delivery.

6.5. For stock reasons, certain Products are only produced to order (hereinafter: "Products made to order"). In such cases, the Buyer will be informed by e-mail, in principle, before the validation of the Order, of the estimated indicative delivery time. Watchmakers United will inform the Buyer of any delay and will communicate any modified Delivery time to the Buyer, by e-mail. No withdrawal of Orders will be accepted for Delivery delays that are not attributable to a fault of Watchmakers United.

6.6. In the event that several Orders are placed simultaneously by the Buyer, Delivery may be split, so that some Orders may be delivered before others.

6.7. The Buyer must immediately inspect the Products upon Delivery. If the Buyer discovers any defects, it must immediately notify Watchmakers United without delay, and at the latest, within seven (7) days. In the absence of such notification, the Products will be deemed to be accepted.

7. Right of Withdrawal

7.1. The Buyer understands and accepts that there is no right of withdrawal once the Order is confirmed in accordance with Article 3 above.

7.2. Watchmakers United reserves the right to accept, at its sole discretion, a return for replacement in accordance with Article 8.

8. Warranty

8.1. Warranty Period

8.1. The Products sold on the Website are created by independent designers who apply their own warranty policy. Watchmakers United serves only as an intermediary for the application of this policy between the customer and the designer.

8.2. Notification of Defects and Replacement or Repair

8.2.1. The Buyer must inform Watchmakers United of any defect affecting the Products during the warranty period.

8.2.2. In the event that a defect appears after Delivery but during the warranty period, the Buyer must immediately notify Watchmakers United. In the absence of such notification, the Products will be deemed to be accepted even with regard to such defects.

8.2.3. Watchmakers United shall, at its sole discretion, replace or repair the Products in question, excluding any termination of the Purchase Agreement or price reduction. Pending Watchmakers United's response, the Buyer must keep the Product safely in its possession.

8.2.4. After-sales services may be provided after the end of the warranty period. These services are subject to a quote and are performed only after approval of this quote by the Buyer.

9. Limitation of Liability

9.1. The photos and texts illustrating and describing the Products appearing on the Website are non-contractual and for informational purposes only. Watchmakers United assumes no responsibility for errors or omissions in the photos or texts appearing on the Website.

9.2. Watchmakers United shall not be liable to the Buyer for any loss arising in connection with the Products, their use, their delivery, or for any damage caused to the Buyer in the performance of the Order, unless such damage is due to wilful intent or gross negligence.

9.3. In no event shall Watchmakers United be liable for any indirect damages, including, but not limited to, consequential damages or loss of profits, or for any damages of any kind, whether or not based on the Purchase Agreement.

9.4. Watchmakers United's overall liability for any damage it may have caused will in any event be limited to the Purchase Price of the Products paid by the Buyer.

9.5. Except as expressly provided in the General Conditions, and to the maximum extent permitted by applicable law, Watchmakers United disclaims and excludes all warranties, terms and other conditions, including, but not limited to, any warranties, terms and other conditions of merchantability, satisfactory quality, fitness for a particular purpose, correspondence to description or non-infringement.

9.6. Watchmakers United shall not be liable for any damage caused by the Products or any damage resulting from the use of the Products. Watchmakers United assumes no product liability except as required by law. In other words, the company disclaims all liability for damage caused by its products or during their use, except as required by law.

10. Prohibition of Assignment

10.1. The Buyer may not assign its contractual rights to a third party except with the prior written consent of Watchmakers United.

11. Data Protection

11.1. Any processing of the Buyer's personal data will be carried out in accordance with applicable legal provisions and in accordance with our Privacy and Cookies Policy.

12. Miscellaneous

12.1. The invalidity or unenforceability of any provision of these General Terms and Conditions shall not affect the validity of the other provisions. The invalid provision shall in such case be replaced by another provision having a corresponding economic and legal effect.

12.2. Watchmakers United may communicate with the Buyer by email. The Buyer consents to receive such communications electronically.

13. Applicable Law and Competent Courts

13.1. Any Purchase Agreement concluded on the Website or by e-mail under these General Terms and Conditions of Sale is exclusively subject to Swiss law, excluding its conflict of laws principles. In particular, the applicability of the United Nations Convention on Contracts for the International Sale of Goods is hereby excluded.

13.2. Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland. The right to appeal to the Swiss Supreme Court is reserved.

13.3. Nothing in these Terms and Conditions, including the provisions above in this section, affects your rights as a consumer to rely on mandatory provisions of your local jurisdiction.
